1. Overview
1.1. These Terms govern your access to and use of Adelservice's mobile apps and/or websites ("Terms"). You should read and agree to these Terms carefully before accessing or using Adelservice's mobile apps and/or websites. By registering and confirming your account, a contractual relationship between you and Adelservice is established.
If you do not agree to these Terms, you will not be able to access or use the Adelservice mobile apps and/or websites. These Terms supersede all prior agreements and understandings between you and Adelservice regarding the App/Website Services (as defined in Section 2.1). The text of this contract will not be stored by us separately after conclusion.
2. App / Website Services
2.1. In addition to the direct services provided by Adelservice (see section 4), Adelservice provides you with services that include:
2.1.1. Access to and use of the Adelservice mobile apps and/or websites that enable you to request and receive third-party professional services and/or Adelservice direct services;
2.1.2. Services relating to the receipt and execution of payments (including the preparation of invoices and supporting documents on behalf of third parties) that enable us to collect amounts from you and — in connection with third-party services — to the bank accounts of the third-party providers or, for Adelservice direct services, to Adelservice accounts.
3. Third-Party Services
For third-party services, Adelservice acts as an externally recognisable and designated intermediary between you and the third-party providers to enable them to offer you their professional services. Adelservice does not provide the third-party services itself. All third-party service providers are independent contractors or other entities who are not employed by Adelservice and do not act as Adelservice's subcontractors, agents, or on behalf of Adelservice.
4. Adelservice as Intermediary
Adelservice operates as a purely intermediary agency, connecting customers with qualified professional service providers such as plumbers, electricians, cleaners and other tradespeople. Adelservice does not carry out the professional services itself.
5. Registration and Use of App / Website Services
5.1. The Adelservice mobile apps and/or websites can be downloaded or accessed on most modern mobile devices with internet access equipped with popular operating systems such as Android or iOS.
5.2. You are responsible for your internet access and all associated costs and charges from your mobile network operator, including data consumption when using Adelservice mobile apps and/or websites. You are also responsible for accessing compatible devices and operating systems necessary to use the App/Website Services, including any required software or hardware updates.
5.3. To use the App/Website Services, you must register with the Adelservice mobile app(s) and/or website(s) and create an account. You can correct input errors at any time via the corresponding functionality in the Adelservice mobile app or website. At the time of registration you must be at least eighteen (18) years of age, or if different, have reached the age required for full legal capacity in the country in which you register.
5.4. To register, you must provide us with certain personal information, including your phone number and email address. To use the App/Website Services, Adelservice and certain third-party services may require at least one valid payment method (credit card, debit card, or other accepted payment method). Before using certain services, additional information such as your address and documents may be requested.
6. Your Duties
6.1. You must not violate any applicable laws or legal provisions when using the App/Website Services. You may use the App/Website Services only for lawful purposes and for the purposes for which they are intended. You may not misuse Adelservice mobile app(s) and/or website(s) or attempt to harm us or third parties (e.g. fraudulently).
6.2. When creating an account and using the App/Website Services, you must provide correct and complete information.
6.3. Your account is for your use only. Specifically:
- You may not register for an additional account unless we agree in text form;
- You may not allow third parties to use your account or transfer your account to third parties;
- You must keep your account information accurate, complete and up to date;
- You must keep your login credentials confidential at all times;
- You must notify us immediately if you suspect someone else knows your password or is using your account.
6.4. You are responsible for all fees or costs arising from the use of third-party services or Adelservice requested via your account, provided that you are responsible for the corresponding use of the account.
6.5. When using the App/Website Services, it is not permitted to harass third-party service providers, Adelservice or other third parties, impair their rights or cause damage to their property.
7. Costs and Payments
7.1. App/Website Service Costs
7.1.1. The use of the App/Website Services is currently free of charge. However, we reserve the right to introduce a usage fee. In such a case you will be informed in writing and given the opportunity to terminate the contractual relationship before the fee is introduced.
7.1.2. We reserve the right to introduce fees for certain elements of the Adelservice mobile app(s) and/or website(s), subject to separate regulations.
7.2. Costs for Third-Party and Direct Services
7.2.1. By submitting a service request, you agree to pay the relevant costs displayed in the Adelservice mobile app(s) and/or website(s) and are responsible for any costs or fees associated with your account.
7.2.2. Depending on the service, location and other factors, costs may be displayed before you submit your request. In other cases, costs depend on your specific use of the service and we can only provide an estimate.
7.2.3. In connection with third-party services, in the event of any damage caused by you, you may be charged additional costs for the damage actually incurred (e.g. repair or cleaning fees).
7.2.4. If a service cannot be provided due to an act or omission for which you are responsible (e.g. you are not present at the agreed location at the agreed time), the costs for that service are due without deduction.
7.2.5. Once a service has been provided, we may bill you for it, including on behalf of the third-party provider. Where applicable, VAT will be shown on the invoice.
7.3. General Payment Terms
7.3.1. For information on additional costs and fees, please refer to the help section of the Adelservice mobile app(s) and/or website(s).
7.3.2. Prices may be changed from time to time with effect for the future.
7.3.3. Costs do not include tips. You may tip in person or via the app where available.
7.3.4. Unless otherwise agreed, all costs are due immediately upon submission of a request and we will charge the payment method associated with your account. You will receive an overview of the service and costs by email. Invoices are available for retrieval in your profile. You agree that invoices will be made available in electronic form.
7.3.5. All costs and fees include applicable taxes including VAT.
8. Cancellation
8.1. In some cases it is not possible to cancel a request after it has been accepted. Where cancellation is permitted by Adelservice or the third-party provider, a cancellation fee may apply as displayed prior to cancellation.
8.2. Adelservice and/or the third-party provider may refuse requests or cancel services if there is concrete evidence to doubt the correctness or authenticity of the request or contact information.
8.3. Free cancellation is available up to 2 hours before the scheduled service time.
9. Your Liability
You shall be liable to us for any breach of these Terms or misuse of the App/Website Services for which you are responsible, any culpable breach of applicable law or culpable breach of third-party rights, in accordance with relevant statutory provisions. You are liable for all activities carried out through your account.
10. Availability
We strive to provide the App/Website Services without interruption. However, the App/Website Services may be affected by technical limitations, delays and/or other problems over which we have no control. Therefore, for the free App/Website Services, we do not guarantee a specific minimum availability or response time.
11. Liability and Limitation of Liability
11.1. No responsibility for third-party services. As an intermediary, we are not responsible for third-party services. We are not liable for damages, fines or claims arising from the use of third-party services or the conduct of third-party providers. Adelservice gives no assurance and assumes no guarantee or warranty regarding the quality, suitability, safety, punctuality or reliability of third-party providers.
11.2. Limitation of liability for App/Website Services. We have unlimited liability for damage caused by us, our legal representatives or vicarious agents (i) for injuries to life, limb or health, (ii) for wilful or grossly negligent breach of duty, (iii) for breach of guarantee promises and (iv) where the Product Liability Act applies. For breaches of essential contractual obligations due to slight negligence, liability is limited to the foreseeable damage typical for the contract. Further claims for damages are excluded.
11.3. Limitation of liability for Adelservice direct services. Where Adelservice provides services directly, the respective regulations of any separate agreement apply to liability. If no separate agreement exists, Section 11.2 applies accordingly.
12. Termination
12.1. You may cancel these Terms at any time by closing your account (where available in the app).
12.2. We may terminate these Terms and your access to the App/Website Services with immediate effect for good cause, e.g. if you have seriously violated these Terms or other agreements between you and us and the violation has not been remedied within a reasonable period.
12.3. We may also properly terminate the contract for the use of App/Website Services at any time with 7 days' notice in text form (e.g. by email), or — with reasonable prior notice — permanently discontinue or temporarily suspend the App/Website Services.
12.4. Upon termination, you must immediately pay all outstanding costs owed to third parties and/or Adelservice. Such claims survive termination and we reserve all rights to collect these payments.
13. General
13.1. We may propose changes to these Terms at any time by announcing the new conditions in the Adelservice mobile app(s) and/or website(s) or by email. Email notifications will be given at least one month before the proposed effective date. Your consent is deemed given if you do not reject the changes in text form before they take effect. You have the right to terminate the contract free of charge before such changes take effect if you do not agree.
13.2. Should any provision of these Terms be or become void or ineffective, the remaining provisions remain in full force. Statutory law shall replace unincorporated or ineffective provisions.
13.3. Provided it does not significantly impair your rights, we may transfer our rights and obligations under this contract to a third party without your prior consent. In the event of such a transfer, you have the right to terminate the contract without notice.
13.4. These Terms, together with any supplementary agreement, constitute our entire agreement with you regarding the App/Website Services.
14. Dispute Resolution
The EU Commission has created an internet platform for online dispute resolution (the "OS platform") for the out-of-court settlement of disputes regarding contractual obligations from online sales or service contracts. You can access the OS platform at: ec.europa.eu/consumers/odr.
We are neither willing nor obliged to participate in dispute resolution proceedings before a consumer arbitration board.
15. Applicable Law and Place of Jurisdiction
These Terms and the legal relationships arising between you and Adelservice are subject to German law, excluding its conflict-of-law rules. The UN Convention on Contracts for the International Sale of Goods (CISG) does not apply.
If you are a consumer resident in the European Economic Area (EEA), mandatory statutory consumer protection regulations in your country of residence apply regardless of the choice of German law, provided they are more favourable to you.
As a consumer in the EEA, you may bring claims before the competent court at your place of residence or at the registered office of Adelservice in Berlin, Germany. If Adelservice wishes to enforce its rights against you as an EEA consumer, it may only do so before the courts at your place of residence.
For users acting as entrepreneurs or consumers domiciled outside the EEA, Berlin, Germany, is the exclusive place of jurisdiction for all disputes arising from these Terms.
By accepting these Terms, you declare your consent to their validity and compliance.
